1. Introduction and Acceptance

1.1 Agreement

These Terms of Service ("Terms") are a legally binding agreement between you ("you," "your," "Customer," or "User") and Efficient Frontier Labs, Inc., a Delaware corporation doing business as HLOS ("HLOS," "we," "us," or "our"). These Terms govern your access to and use of the HLOS platform, including our website at hlos.ai, APIs, browser extensions, command-line tools, and related services (collectively, the "Service").

1.2 Acceptance

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Acceptable Use Policy ("AUP"), and any additional terms referenced herein (collectively, the "Agreement"). If you are using the Service on behalf of an organization, you represent you have authority to bind that organization, and "you" refers to both you and that organization.

1.3 Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service.

1.4 Changes

We may modify these Terms. We will provide notice of material changes by posting updated Terms, emailing your registered address, or providing in-product notice. Changes apply prospectively as of the effective date. If you do not agree, you must stop using the Service.

2. Description of Service

2.1 Overview

HLOS provides credential management and infrastructure provisioning designed for developers and AI agents, including secrets storage, credential delivery mechanisms, agent identity tooling, marketplace provisioning, and audit/attestation features.

2.2 Credential Isolation Architecture

A core design goal is to reduce unnecessary exposure of plaintext credential values to automated systems. Except where you explicitly instruct HLOS to reveal/export a secret, or configure an integration that requires delivery of a secret value to a destination you control, HLOS is designed so AI agents receive confirmations, non-sensitive outputs, or operational results rather than plaintext secret values.

2.3 Availability

We may suspend or limit access for maintenance, security, abuse prevention, or circumstances outside our reasonable control. We do not guarantee uninterrupted access unless you have a separate, written SLA with us.

2.4 Beta / Early Access Features

Some features may be offered as beta, preview, or early access. Beta features may be changed or discontinued and are provided "AS IS" with no warranty or support obligation unless expressly stated in writing.

3. Accounts and Security

3.1 Account Creation

You agree to provide accurate information and keep it current.

3.2 Account Security

You are responsible for safeguarding account credentials and all activity under your account. You agree not to share credentials and to promptly notify us at security@hlos.ai of suspected unauthorized access.

3.3 Authentication Levels

We may offer multiple authentication options (e.g., password, OAuth, TOTP, passkeys, hardware security keys). Some features and Security Guarantee eligibility/limits depend on your authentication configuration as described in the Security Guarantee.

3.4 Agent Accounts

You may register AI agents to act on your behalf. You are responsible for configuring permissions, spend limits, and monitoring.

4. Plans, Billing, Wallet, and Credits

4.1 Plans and Pricing

Plan features, limits, and pricing are described on our pricing page or in an order form. We may change pricing and plan features with notice as described in these Terms.

4.2 Free / Beta Offers

We may offer free or discounted access during beta or promotions. Unless we explicitly say otherwise in writing, beta offers may exclude certain benefits (including eligibility for the Security Guarantee) if eligibility requirements are not met.

4.3 Billing and Authorization

For paid subscriptions or wallet funding, you authorize HLOS (and our payment processors) to charge your payment method for fees, taxes, and usage charges.

4.4 Wallet

The Service may include a prepaid wallet. Wallet funds are applied to usage charges as they accrue. Wallet funds are non-refundable except as required by law.

4.5 Promotional and Sponsor Credits

Credits have no cash value, may be non-transferable, and may expire. Credits apply according to the terms presented when issued. We may modify credit programs prospectively.

4.6 Auto-Renewal and Cancellation

Subscriptions renew automatically unless canceled before renewal. Cancellation is effective at the end of the current billing period.

4.7 Refunds

Unless required by law or stated in an order form:

  • No refunds for partial billing periods.
  • Wallet funds are non-refundable (except as required by law).
  • If you initiate a chargeback, we may suspend the account pending resolution.

4.8 Non-Payment

We may suspend access for non-payment after notice, and you remain responsible for charges incurred prior to suspension.

5. Customer Data and Secrets

5.1 Ownership

You retain ownership of your Customer Data, including secrets ("Secrets"), configuration, and content submitted to the Service.

5.2 License to Provide the Service

You grant HLOS a limited license to host, access, process, and transmit Customer Data only to provide, maintain, secure, and improve the Service; comply with law; and respond to support requests.

5.3 Security Measures

We maintain safeguards designed to protect Customer Data, which may include encryption in transit and at rest, access controls, and logging. No system is perfectly secure, and you remain responsible for secure use of the Service, including endpoint security and proper configuration.

5.4 Retention and Deletion

We retain Customer Data while your account is active. Upon account deletion/termination, we delete or de-identify Customer Data from active systems within a reasonable period, subject to backup retention, security/audit logs, and legal holds.

5.5 Data Export

You may export data via the Service or API where supported. Following termination, export may be available for a limited period as described in the Service.

6. AI Agents

6.1 Authorization and Liability

You are responsible for actions taken by your authorized agents, including charges incurred, compliance with the AUP, and any harm caused by agent activity.

6.2 No Circumvention

You agree not to circumvent credential isolation mechanisms, approval workflows, spend limits, or other security controls.

6.3 Trust / Risk Controls

We may apply risk controls (e.g., manual approvals, spend caps, throttling, quarantines) based on security signals, abuse, or operational risk.

7. Infrastructure Marketplace

7.1 Relationship

The Marketplace enables provisioning of third-party infrastructure and capabilities. Depending on the offering, HLOS may (a) resell, (b) aggregate and bill, or (c) pass through provider charges with additional HLOS fees. Your use of third-party resources may also be subject to provider terms.

7.2 Charges

Marketplace charges may include provider costs plus HLOS fees (e.g., platform fee, usage fee, provisioning/orchestration fee). We may implement rate limits and technical controls to protect the Service.

7.3 Provider Availability

Third-party providers may change, suspend, or terminate services. HLOS is not responsible for third-party outages or failures, and you remain responsible for charges incurred until resources are terminated.

8. Operator / Partner Programs

If you participate as an event operator, partner, or promoter, additional terms (e.g., an Operator Agreement) apply. If there is a conflict between these Terms and an Operator Agreement, the Operator Agreement controls for Operator activities.

9. Acceptable Use

Your use is subject to the AUP (Appendix A). We may investigate suspected violations and suspend/terminate accounts to prevent harm.

10. Intellectual Property

HLOS owns the Service and related IP. You receive a limited, revocable license to use the Service. You may not reverse engineer, build a competing product using the Service, or publish benchmarks without written permission.

11. Confidentiality

Each party must protect the other's Confidential Information and use it only to perform under this Agreement, subject to standard exceptions (public, prior knowledge, independently developed, etc.).

12. Privacy

Our Privacy Policy governs our collection and use of personal information.

13. Security Guarantee

The Security Guarantee is a separate document incorporated by reference. If you are eligible, it provides limited reimbursement for certain direct losses caused by verified HLOS Infrastructure Failures, subject to its conditions and coverage limits.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

15. Limitation of Liability

15.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HLOS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS/REVENUE, BUSINESS INTERRUPTION, OR LOSS OF DATA (OTHER THAN AS EXPRESSLY COVERED BY THE SECURITY GUARANTEE, IF APPLICABLE).

15.2 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HLOS'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO HLOS IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100.

Security Guarantee Carve-Out: If you are eligible for the Security Guarantee, HLOS's payment obligations under that Guarantee are limited to the Coverage Limits and conditions set forth in the Security Guarantee.

15.3 Exceptions

These limitations do not apply to liabilities that cannot be limited by law, or to your indemnification obligations.

16. Indemnification

You will indemnify HLOS for claims arising from your use, your data, your violations, and your agents' actions. HLOS will provide a limited IP infringement indemnity for the Service (excluding Customer Data and third-party components), subject to standard conditions.

17. Term and Termination

You may terminate anytime. We may suspend/terminate for cause, risk, or legal requirements. Upon termination, your access stops and you remain responsible for accrued charges.

18. Dispute Resolution; Arbitration

Informal resolution required first. If unresolved, binding arbitration administered by JAMS under streamlined rules in San Francisco, California, with a class action waiver and opt-out right.

19. General

Governing law: Delaware. Notices, assignment, force majeure, export compliance, government users, and other standard provisions apply.

20. Contact

Appendix A: Acceptable Use Policy (AUP)

You may not use the Service to:

  • Engage in illegal activity, fraud, money laundering, or trafficking.
  • Store/distribute malware, stolen credentials, or exploit content.
  • Attempt unauthorized access or probe/scan without authorization.
  • Circumvent security controls, credential isolation, approvals, or spend limits.
  • Use session capture/replay/injection to access accounts/systems without valid authorization from the account/system owner.
  • Send spam/phishing or harass others.
  • Build a competing product or publish benchmarks without written permission.
  • Resell without authorization.

We may suspend/terminate for violations and report illegal activity to law enforcement.
